All business payments, transactions, and financial dealings shall be conducted through lawful, transparent, and traceable channels in compliance with 100% white accounting practices. The business shall maintain proper accounting records and comply with all applicable taxation and financial regulations. Any form of tax evasion, unaccounted cash dealings, financial manipulation, falsification of records, benami transactions, or other fraudulent financial shenanigans shall be strictly prohibited under the engagement structure.

Business Quantum
The business shall operate with a measurable and manageable business quantum supported by transparent operational, financial, and transactional visibility suitable for structured long-term collaboration. The business shall maintain auditable transaction systems and shall not engage in concealment, suppression, off-record dealings, or non-transparent financial practices in any manner.
Proper and Complete
Documentation
The business shall maintain proper, accurate, and complete documentation of all operational, financial, and commercial activities, including invoices, payment receipts, delivery challans, purchase records, agreements, internal and external communications and other relevant business documents wherever applicable. The business shall maintain verifiable records to support lawful and transparent operations.

The business shall maintain transparency in sales reporting, revenue declarations, financial transactions, and operational disclosures, and shall ensure full compliance with all applicable taxation, licensing, labour, regulatory, and statutory laws and regulations. Concealment, unaccounted transactions, misrepresentation, or non-transparent financial practices shall not be permitted. Any non-compliant activity may result in rejection, suspension, or termination of the engagement.

The business shall maintain professional, ethical, and responsible conduct in customer interactions, service delivery, internal operations, and commercial practices. Professionalism in communication, commitments, dispute handling, and market representation shall be upheld to ensure fair dealing, customer satisfaction, and business credibility throughout the engagement period.

Essential conditions and liability clarification
The initial commitment amount paid to AKT is strictly non-refundable. This amount is considered a commitment towards onboarding, research, planning, consultation, resource allocation, and preliminary strategic activities carried out by AKT and its associated teams.

AKT operates as an external strategic support and advisory partner. All research, analysis, evaluations, recommendations, and suggestions provided by AKT are intended to assist the client in making informed business decisions. However, the final authority regarding implementation, approvals, operational execution, investments, pricing, appointments, partnerships, and all other business matters shall remain entirely with the client.

AKT shall not be held responsible for business outcomes, operational losses, market performance, or decisions taken by the client based on the provided suggestions or strategic guidance. Clients are advised to independently review and evaluate all recommendations before taking any final action.
AKT Tax Terms & Conditions
Rules governing services and partnerships
1.Statutory Compliance Requirement:
For companies operating within India, GST and Income Tax Return filing must be carried out through an authorized AKT subsidiary. This helps maintain proper compliance coordination, financial transparency, and alignment with the AKT Tax operational framework. Clients are required to provide accurate records and documents within the applicable timelines.
2.Domain Custody:
All domains associated with company operations shall remain under the custody and management of AKT for administrative control, security, and operational continuity. This structure helps ensure centralized management, renewal monitoring, and protection of critical digital assets. Domain access, transfer, or release terms shall be governed as per the applicable agreement and operational policies.
3.Research & Advisory Scope:
AKT’s role shall be limited to conducting research, analysis, and providing strategic suggestions or recommendations based on available information. All final business, operational, financial, or implementation decisions shall remain solely at the client’s discretion. AKT shall not be held liable for outcomes arising from decisions made by the client.
4.Revenue Sharing Agreement:
The client agrees to share a pre-defined percentage of gross sales or turnover based on mutually agreed revenue-sharing slabs. The applicable percentage structure shall be determined according to the business scale, projected growth, and engagement scope. Revenue sharing payments must be maintained with transparency and processed within the agreed billing cycle.
5.Sales Reporting & Transparency:
The client is required to provide accurate, complete, and timely sales reports and related financial data for proper evaluation and revenue-sharing calculations. AKT reserves the right to review, verify, or audit submitted figures whenever necessary to maintain transparency, compliance, and operational accuracy within the partnership framework.
6.Payment Terms:
Payments of monthly recurring charges must be cleared within the mutually agreed billing cycle to ensure uninterrupted access and smooth business operations. Delayed payments may result in late charges, temporary suspension of services, or other applicable actions as per the agreement. Continued non-payment may lead to restriction or termination of services until dues are settled.
7.Scope of Services:
The services provided under this agreement will be limited to the features, modules, and deliverables included in the selected plan. Any requests beyond the agreed scope may be treated as additional services and billed separately. Changes or enhancements outside the subscribed package will require prior approval and may incur extra charges.
8.No Operational Liability:
AKT shall not be held responsible for the client’s day-to-day business operations, customer interactions, product or service delivery, or any operational decisions. The client shall retain full responsibility for managing and running their business activities. AKT will not be liable for any business losses, damages, or liabilities arising from operational matters.
9.Intellectual Property Usage:
Brand assets, designs, websites, marketing materials, and other digital properties created by AKT shall be used in accordance with the rights and permissions defined in the agreement. Ownership, modification rights, and usage limitations will remain subject to the agreed terms between both parties. Unauthorized use, transfer, or reproduction of such assets without prior approval may not be permitted.
10.Non-disclosure Agreement (NDA):
Both parties agree to maintain strict confidentiality regarding all business data, operational strategies, client information, and financial details shared during the course of the engagement. Such information shall not be disclosed to any third party without prior written consent, except where required by law. This obligation shall remain applicable even after the termination of the agreement.
11.Third-Party Services:
Certain services may be provided through subsidiaries, technology partners, or third-party alliance providers associated with AKT. Such services shall be governed by the respective terms, conditions, and policies of those third parties. AKT shall not be held liable for any limitations, disruptions, or policy changes arising from third-party service providers.
12.Service Suspension / Termination:
AKT reserves the right to suspend, restrict, or terminate services in the event of non-payment, concealment of information, misreporting of business data, or violation of the agreed terms and conditions. Any such action may be taken without prior intimation if the breach materially affects the business relationship or service operations.
13.Exit & Transition Policy:
In the event of termination or discontinuation of services, all transition-related matters including domain transfer, access to business data, handover of digital assets, and settlement of pending dues shall be governed as per the agreed terms. Completion of the transition process may be subject to clearance of all outstanding payments and obligations.
14.Limitation of Liability:
AKT’s legal liability under this agreement shall be limited only to the extent of the services provided and shall not include any indirect, incidental, or consequential losses. AKT shall not be responsible for business interruptions, loss of profits, loss of opportunities, or any damages arising from the client’s operational or commercial activities.
